1. Acceptance of Terms

Welcome to THESLA CLOUD, operated by Thesla Cloud Services ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and the Company regarding your use of our website (theslacloud.com) and services.

By accessing our website, registering for an account, or purchasing our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and Refund Policy. If you do not agree to these Terms, you must not use our services.

These Terms apply to all users, including visitors, registered users, and paying clients. Additional terms may apply to specific services, which will be presented to you at the time of purchase.

2. Services Description

2.1 Thesla Social (Social Media Management)

Our social media management services include:

  • AI-driven content strategy and planning
  • Content creation (text, images, videos)
  • Automated posting and scheduling across social media platforms
  • Engagement monitoring and community management
  • Analytics and performance reporting
  • Social media advertising management (Premium tier)

2.2 Thesla Design & Dev (Web Design & Development)

Our web design and development services include:

  • Custom website design and development
  • Responsive and mobile-optimized layouts
  • Content management system (CMS) integration
  • E-commerce functionality (Enterprise tier)
  • Search engine optimization (SEO)
  • Website maintenance and support

2.3 Additional Services

  • AI automation solutions
  • Analytics and business intelligence
  • Custom integrations and API development
  • Consulting and strategy services

2.4 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We will make reasonable efforts to notify clients of significant changes that may affect their service.

3. Account Registration and Security

3.1 Account Creation

To access certain services, you must create an account by providing:

  • Accurate and complete personal information
  • Valid email address
  • Secure password
  • Business information (if applicable)

3.2 Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Keeping your account information current and accurate

3.3 Account Restrictions

You may not:

  • Share your account credentials with others
  • Create multiple accounts for fraudulent purposes
  • Use another person's account without permission
  • Sell, transfer, or assign your account to others

3.4 Age Requirement

You must be at least 18 years old to use our services. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into this agreement.

4. Payment Terms

4.1 Pricing

All prices are listed on our Pricing page and are subject to change. We will notify you of any price changes before they take effect. Continued use of services after a price change constitutes acceptance of the new pricing.

4.2 Subscription Services

  • Billing Cycle: Monthly or annual, as selected at purchase
  • Auto-Renewal: Subscriptions automatically renew unless cancelled
  • Payment Method: Valid credit card, debit card, or approved payment method required
  • Failed Payments: Service may be suspended if payment fails; account may be terminated after repeated failures

4.3 One-Time Projects

  • Deposit: 50% deposit required before work begins (Professional and Enterprise tiers)
  • Milestone Payments: Payment due upon completion of agreed milestones
  • Final Payment: Due before final delivery and handover
  • Late Payments: Interest of 1.5% per month may be charged on overdue amounts

4.4 Taxes

Prices do not include applicable taxes (VAT, GST, sales tax, etc.). You are responsible for all taxes associated with your purchase, except for taxes based on our net income.

4.5 Currency

All prices are listed in USD unless otherwise specified. International payments may be subject to currency conversion fees charged by your financial institution.

4.6 Refunds

Refund requests are governed by our Refund Policy. Please review the Refund Policy for detailed information on eligibility and procedures.

5. Intellectual Property Rights

5.1 Our Intellectual Property

All content on our website and in our services, including but not limited to text, graphics, logos, images, software, and code, is the property of Thesla Cloud Services or our licensors and is protected by copyright, trademark, and other intellectual property laws.

5.2 License to Use Our Services

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for their intended purpose. This license does not include the right to:

  • Reproduce, duplicate, copy, or resell our services
  • Modify, adapt, or create derivative works
  • Reverse engineer, decompile, or disassemble our software
  • Remove or alter any proprietary notices

5.3 Client-Provided Content

You retain ownership of all content you provide to us (text, images, logos, brand materials, etc.). By providing content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display the content solely for the purpose of providing our services to you.

5.4 Work Product Ownership

For web development projects:

  • Custom Work: Upon full payment, you own all custom designs, code, and content created specifically for your project
  • Third-Party Components: Third-party software, plugins, and frameworks remain the property of their respective owners
  • Templates and Tools: Pre-existing templates, tools, and frameworks used in your project remain our property
  • Portfolio Rights: We reserve the right to display completed projects in our portfolio and marketing materials

5.5 Social Media Content

For social media management services, content created for your social media accounts becomes your property upon payment. However, we retain the right to use anonymized performance data for analytics and service improvement.

6. User Obligations and Prohibited Conduct

6.1 Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit harmful, offensive, or illegal content
  • Engage in fraudulent or deceptive practices
  • Interfere with or disrupt our services or servers
  • Attempt to gain unauthorized access to our systems
  • Use our services to spam, harass, or harm others
  • Impersonate any person or entity

6.2 Social Media Platform Compliance

When using our social media management services, you must comply with the terms of service and community guidelines of all applicable social media platforms (Facebook, Instagram, Twitter, LinkedIn, etc.).

6.3 Content Standards

You are responsible for ensuring that all content you provide or approve:

  • Does not violate any laws or third-party rights
  • Is accurate and not misleading
  • Does not contain malware or harmful code
  • Complies with advertising and marketing regulations

6.4 Cooperation

You agree to:

  • Provide timely feedback and approvals
  • Supply necessary materials, access, and information
  • Respond to our communications within reasonable timeframes
  • Notify us of any issues or concerns promptly

7. Service Level Agreement

7.1 Availability

We strive to maintain 99.9% uptime for our services, excluding scheduled maintenance. However, we do not guarantee uninterrupted access and are not liable for any downtime.

7.2 Support

  • Response Time: We aim to respond to support requests within 24 hours on business days
  • Support Channels: Email, contact form, and (for Premium clients) phone support
  • Support Hours: 24/7 email support; phone support during business hours

7.3 Deliverables and Timelines

We will make reasonable efforts to meet agreed-upon deadlines. However, timelines are estimates and may be affected by factors including client delays in providing feedback or materials, scope changes, and unforeseen technical issues.

7.4 Quality Standards

All work will be performed in a professional manner consistent with industry standards. We will make reasonable efforts to correct any defects or errors in our deliverables.

8. Confidentiality

8.1 Confidential Information

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship, including but not limited to business strategies, financial information, customer data, and technical specifications.

8.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available through no fault of the receiving party
  • Was rightfully known prior to disclosure
  • Is independently developed without use of confidential information
  • Must be disclosed by law or court order

8.3 Data Protection

We will handle your data in accordance with our Privacy Policy and applicable data protection laws, including GDPR and CCPA where applicable.

9. Limitation of Liability

9.1 Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 Limitation of Liability

To the maximum extent permitted by law, Thesla Cloud Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of our services.

9.3 Maximum Liability

Our total liability for any claims arising out of or related to these Terms or our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $500, whichever is greater.

9.4 Exceptions

Nothing in these Terms shall limit our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded by law

9.5 Third-Party Services

We are not responsible for the performance, availability, or content of third-party services, platforms, or websites that may be integrated with or linked from our services.

10. Termination

10.1 Termination by Client

You may terminate your subscription or cancel services at any time by providing written notice. Termination is subject to our Refund Policy.

10.2 Termination by Company

We may suspend or terminate your access to our services immediately if:

  • You breach these Terms
  • Your payment fails or account is past due
  • You engage in fraudulent or illegal activity
  • Your use of services poses a security risk
  • We are required to do so by law

10.3 Effect of Termination

Upon termination:

  • Your access to services will be immediately revoked
  • You remain liable for all outstanding payments
  • We may delete your account data after a reasonable period
  • Provisions that by their nature should survive (payment obligations, intellectual property, liability limitations) will continue to apply

10.4 Data Retrieval

You may request a copy of your data within 30 days of termination. After this period, we may permanently delete your data.

11. Dispute Resolution

11.1 Informal Resolution

In the event of any dispute, claim, or controversy, the parties agree to first attempt to resolve the matter through good-faith negotiations. Contact us at contact@theslacloud.com to initiate this process.

11.2 Mediation

If informal negotiations fail, the parties agree to participate in mediation before pursuing other legal remedies. The parties will share the costs of mediation equally.

11.3 Arbitration

Any disputes not resolved through mediation shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in a mutually agreed location or virtually.

11.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11.5 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or other urgent matters requiring immediate action.

12. Governing Law and Jurisdiction

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Thesla Cloud Services is registered, without regard to its conflict of law provisions.

12.2 Jurisdiction

Subject to the arbitration provisions above, you agree to submit to the exclusive jurisdiction of the courts in our registered jurisdiction for any legal proceedings.

12.3 International Users

If you are accessing our services from outside our jurisdiction, you are responsible for compliance with local laws and regulations.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date
  • Sending email notification to registered users
  • Displaying a prominent notice on our website

Your continued use of our services after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of our services.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Thesla Cloud Services regarding your use of our services.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, or government actions.

14.6 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
